Erin represents borrowers and lenders, including banks and alternative lending institutions, in connection with credit facilities. Erin specializes in capital commitments financing (also known as “fund finance” or “subscription financing”), which involves the securitization of the capital commitments of investors in a fund. She also has deep real estate finance experience, including her representation of borrowers and lenders in construction loans and other real-estate secured loans involving virtually every type of property use — raw land acquisition, industrial properties, hotels, and office and retail space.

In addition, Erin represents private equity funds in connection with the acquisition of companies across a wide range of industries, which deals typically involve complex intercreditor relationships requiring subordinated and mezzanine financing arrangements.

  • Represented global banking institution as lead agent in a $2.5 billion multi-currency, multi-jurisdictional capital commitment subscription-secured credit facility for a global real estate investment management firm. *
  • Represented global banking institution as lead agent in multiple concurrent capital commitment subscription-secured credit facilities for energy sector institutional investors, including Cayman Islands affiliates. *
  • Represented major national banking institution in mortgage pool facility for international investment fund secured by industrial and mixed-use real property in multiple states. *
  • Represented major national banking institution as lead agent in syndicated construction financing for a high-end beachfront resort in Hawaii. *
  • Represented regional bank in connection with construction financing for franchised hotels in Texas and Florida. *
  • Represented major national banking institution as lead agent in restructuring the bank debt to a commercial real estate development company headquartered in California. Included multiple revolving, term and construction loans. *
  • Represented major national banking institution as lead agent, swingline lender and letter of credit issuer in unsecured syndicated credit facility for national home builder. *
  • Represented investment banking service as lead arranger and financial institution as administrative agent in a $500 million senior secured syndicated credit facility for a midstream energy master limited partnership with assets in Wyoming, Colorado, Utah and North Dakota. *
  • Represented lead agent in a $3.4 billion multi-currency, cross-border revolving credit facility to a multinational corporation and its subsidiaries. *
  • Represented major national banking institution as lead agent and lead arranger in $600 million syndicated capital commitment subscription-secured credit facility for real estate private equity funds. *
  • Represented publicly traded provider of infrastructure products and services in obtaining a $600 million credit facility in connection with the company’s spin-off from its parent corporation. *
  • Represented a publicly traded provider of rail transportation products and services in obtaining a $650 million credit facility in connection with the spin-off transaction of an infrastructure subsidiary. Resulted in the separation of the companies and the creation of two credit facilities totaling more than $1.25 billion. *
  • Represented international automotive company with respect to general corporate matters such as improvement of internal workflow procedures, confidentiality agreements, leasing matters and vendor management and contract maintenance. *
