Maxwell Karasek’s national health care transactional and regulatory practice is focused on representing physician groups, hospitals and health systems, academic medical centers, and private equity funds in a broad range of transactional, regulatory, and general corporate matters, including acquisitions, divestitures, joint ventures, academic affiliations, and physician alignment strategies.

Helping clients navigate the health care market

Maxwell has experience in a wide array of health care transactions, representing both buyers, sellers, and potential partners, at all stages of the deal, including conducting and coordinating effective due diligence, drafting and negotiating the definitive agreements, and closing and implementing the deal. In addition to his transactional practice, Maxwell regularly advises clients on a variety of health care regulatory matters, with a focus on federal and state fraud and abuse matters.

Maxwell also has experience working directly with providers to support and improve their day-to-day business operations by structuring programs, advising on compliance concerns, negotiating and drafting vendor and clinical agreements of all types, including template agreements, and reviewing and establishing appropriate policies and procedures.

Representative clients include academic medical centers, hospitals and health systems, private equity funds, multispecialty and single-specialty physician groups, health plans, third-party administrators, and other health care entities.
