About Joseph M. Carlson

Joseph Carlson focuses his practice on private credit and commercial finance transactions, representing administrative agents, lenders and borrowers in middle-market financing transactions. He advises clients on senior secured, second lien and mezzanine financings with experience across a broad range of industries.

Joseph represents clients in connection with leveraged buyouts, add-on acquisitions, refinancings, dividend recapitalizations and other strategic transactions. His experience encompasses a variety of financing structures and credit arrangements, and he advises clients throughout the deal process, including from the initial structuring of a transaction through negotiation, documentation, closing and subsequent amendments and other developments during the life of a financing deal.

Joseph’s experience representing administrative agents, lenders and borrowers gives him a broad perspective on the priorities of the parties to a credit transaction. He uses that perspective to identify issues that may affect the economics, structure or execution of a transaction and to help clients navigate negotiations toward a financing that reflects their objectives while providing appropriate protections and flexibility.

Prior to attending law school, Joseph worked in the institutional consulting industry.
