About Josh Kaufman

Josh Kaufman is a commercially oriented corporate counselor with deep capital markets experience who advises high-growth businesses on financing pathways, strategic development and transformational transactions, as well as investment banks and financing sources that support capital formation. He represents US and foreign private issuers and underwriters, primarily in the life sciences, technology and digital asset sectors, in a wide variety of public offerings and private placements.

Extensive experience across the full spectrum of capital markets transactions

Josh handles a broad range of equity and debt capital markets transactions, including initial public offerings, alternative public offerings (de-SPACs, reverse mergers and direct listings), secondary offerings, registered direct offerings, at-the-market (ATM) programs, PIPEs, equity lines of credit, crossover financings, preferred stock offerings and convertible notes, as well as investment-grade and high-yield debt offerings. He has considerable experience in cross-border matters, having advised on novel transactions for leading innovative companies across Asia, Europe, Latin America and the Middle East, and has counseled on more than 200 financing transactions with an aggregate value in excess of $100 billion. Josh also represents public company clients before the Securities and Exchange Commission, New York Stock Exchange and Nasdaq, and advises on corporate governance, general corporate and commercial matters.
