Katten represented Profusa, Inc., a digital health company pioneering next generation biosensing technologies, in connection with an Option Agreement that provides Profusa with the right, subject to specified conditions, to acquire G3 Vision Labs, Inc. and its subsidiaries, including Med Screen Laboratories Inc., Dominion Diagnostics LLC and Acutis Diagnostics Inc.

The transaction positions Nasdaq-listed Profusa to potentially expand beyond its biosensing platform into the diagnostics sector through the acquisition of a commercial-stage laboratory testing business. Assuming financing of $30 million is raised and the option is exercised, the combined company is expected to operate as a public diagnostics company with national CLIA-certified laboratories and a diversified provider base serving addiction treatment, pain management and behavioral health.
