Our seasoned attorneys work hand in hand with our Mergers and Acquisitions (M&A) and Private Equity groups as well as our Insolvency and Restructuring practice through merger, acquisition, disposition, joint venture, and equity and debt financing transactions, including the acquisition of distressed assets through domestic and international bankruptcy processes.
We also collaborate with our award-winning Entertainment and Media (Chambers USA, Media & Entertainment Litigation, California, 2013-2024) and Sports and Sports Facilities (Chambers USA, Sports Law, Nationwide, 2012-2024) practices to advise on matters such as celebrity endorsements, sponsorship agreements, and the purchase and sale of team franchises. - Executing distressed transactions across retail, wholesale, industrial and IP sectors;
- Conducting thorough reviews of IP assets (patents, trademarks and copyrights), verifying IP ownership, analyzing agreements and advising on transaction strategies to ensure seamless integration and protection of acquired assets;
- Preparing disclaimers and copyright notices, copyright protection, consent agreements, photo use policies, privacy terms and data protection protocols;
- Defending fashion and retail clients in privacy-related litigation and assisting with mitigating their risk through counsel regarding privacy, cybersecurity and risk management compliance obligations;
- Supporting designers, manufacturers and retailers as they navigate the growing body of ESG-related measures to ensure their compliance with new sustainability and social accountability requirements, both domestically and abroad.

Karen has educated future lawyers as an Adjunct Professor at New York Law School for more than 15 years and ongoing, teaching practical substantive and drafting skills for IP licensing in the fashion industry. The school recognized Karen with its "New York Law School Big Apple Award," commemorating her for "Creativity That Moves Fashion Forward." In addition, Karen was honored with a Global Lifetime Achievement Award for her more than 30 years of successfully and creatively handling IP matters, ranging from strategic trademark licensing to international distribution agreements, for some of the world's most innovative companies and iconic fashion brands (Managing Intellectual Property, 2018). She has also been named among the 2018 "Leading Women Lawyers in New York City" and 2020 "Notable Women in Law" (Crain's New York Business).
