Jacob Cohen advises clients on the US federal income tax aspects of private fund formation, mergers and acquisitions, financing transactions, securities offerings and restructurings. He helps private investment managers, fund sponsors, investors and corporate clients structure transactions efficiently, anticipate tax risk and achieve their business objectives at every stage of a deal.

Precise tax analysis, practical business judgment

Prior to joining Katten, Jacob practiced in the tax department of a New York-based multinational law firm, where he advised private investment managers and their portfolio companies and other corporate clients on a range of tax matters. His work spans the full life cycle of a fund — from negotiating operating agreements and structuring management company arrangements to advising on investments and dispositions — as well as the tax dimensions of complex mergers, acquisitions, financings, securities offerings and restructurings. Jacob holds a Master of Accounting and a Bachelor of Science in Management, which complement his legal training, bringing a holistic, business-oriented approach to tax analysis.
