Mike Shaffer has extensive experience working with commercial real estate lenders and loan sellers in structured finance transactions, including commercial mortgage-backed securities (CMBS), commercial real estate collateralized loan obligation (CRE CLO), residential mortgage-backed securities (RMBS) and repurchase facility transactions. He represents issuers and underwriters in both public and private (144A) offerings of CMBS, as well as issuers, trustees, master servicers and securities administrators on securitization transactions.

Deep experience with structured financial transactions with respect to commercial mortgages

Mike brings deep, real‑world experience from his tenure as associate general counsel and managing director at a real estate investment firm, where he served as lead transactional counsel across the company’s lender-finance business, providing warehouse financing. He also guided the firm’s business‑purpose residential loan origination, aggregation and trading platform, which produced more than $3 billion in loan volume in 2025.

This combination of in-house and law firm experience gives Mike a practical, business-oriented perspective on structured finance transactions. His clients have included large banks, real estate‑focused funds and a government‑sponsored enterprise, and his work has spanned transactional matters such as platform‑level offering document updates across single‑family MBS, multifamily MBS and resecuritization platforms. Mike's understanding of both borrower and lender perspectives is particularly valuable in finding common ground with negotiating counterparties.
